The Selling Process

  1. Contact us to discuss your requirements. We can offer a free evaluation once you have provided us with a few basic pieces of information. We have industry sector knowledge and can advise on value and likelihood of a sale – all for no charge.

  2. Discuss your options. This could be a trade sale of the shares or assets, alliance or alternatives.

  3. If you choose to appoint us, together we will prepare the Information Memorandum (IM) and a full professional Valuation Report. We then discuss and set a price for the business with you.

  4. We then prepare a bespoke marketing plan. We do not take a scatter gun approach to marketing. It is highly targeted.  We have a vast network of a range of contacts, plus a comprehensive database of buyers and use various platforms.  All approaches are discreet and confidential.

  5. You continue to run the business normally. We advise on any areas to improve saleability (‘grooming’).

  6. Interested parties are vetted, required to sign a Non-Disclosure Agreement (NDA) and then presented to you for approval. The IM is then sent to the interested party. You are always in control.

  7. Enquirers usually come back with a few questions or requests for further information. At this stage no sensitive commercial information is provided.

  8. An initial meeting will then take place followed by a site visit. (Conditions apply due to Covid-19).

  9. Indicative, non-binding offers (subject to contract) are then then invited. Together with you, we will then clarify, discuss, compare, advise and select the best offer - and negotiate as necessary to ensure we get the best deal.

  10. Heads of Agreement (HOA) are then signed and lawyers are appointed. We work closely with a panel of professional M&A lawyers and can make sound recommendations here.

  11. A due diligence questionnaire will be provided by the buyer to you asking a number of detailed questions and requesting further information. This will be collated and reviewed by your lawyer and stored in a secure cloud-based ‘dataroom’ for the buyer to view.  We can support you here too.

  12. Based on the HOA, the buyer’s lawyer will draw up the Sale & Purchase Agreement (SPA) and negotiate this with your lawyer.

  13. Completion! Legal documents are signed, money is transferred, and the transaction completes. Time to celebrate!  Beyond this, we can offer post-transaction support if required.

We are not purely a business broker.  Aside from our industry-specific specialisation, we project manage all our deals (for vendors and buyers). We attend meetings, engage in all communications and offer unlimited telephone/email support when required to answer any questions.  This is always provided by a partner for your assurance. Confidentiality is essential and maintained at all times.

Our fee structure is based on the following:

  1. A ‘Commitment’ Fee – a fixed upfront fee, payable on engagement.
This covers our work in reviewing the business to get a good understanding of your operations and needs, Valuing the business, preparing the Information Memorandum, and developing a bespoke Marketing Plan.  Please ask for a quote.
  2. A ‘Success’ Fee – payable and contingent upon completion
This is typically 3% of the total consideration received for the business, charged on completion, and subject to a minumum charge. It covers the bulk of the work managing the transaction through to completion.

There are no hidden fees or expenses.
